Overview
Key Responsibilities
- Provide support for domestic and international corporate subsidiary maintenance.
- Draft corporate documentation, including board and stockholder resolutions, certificates, entity formations and dissolutions, name changes, jurisdictional qualifications and withdrawals, and merger documents in various U.S. and foreign jurisdictions (in the case of foreign jurisdictions, liaising with local counsel as necessary).
- Help maintain current and historical corporate entity records electronically in Diligent Entities and other internal databases.
- Prepare documentation for U.S. and international tax and/or treasury-driven initiatives, including internal restructurings and documentation related to capital contributions, dividends, banking resolutions, financings, etc.
- Support corporate transactions and liaise with Paramount legal, tax, treasury, and accounting teams, and outside counsel in various jurisdictions.
- Prepare powers of attorney, consents, delegations of authority, and organizational charts for divisions within Paramount.
- Assist with processing and approval of legal invoices, as well as keeping track of and updating departmental budgets.
- Assist with the coordination of document certifications, notarizations, and apostilles.
- Additional responsibilities will include collaborating on special projects, process improvements, and other general legal assignments.
Basic Qualifications
- Minimum of 5 years of equivalent paralegal experience at a law firm or within an in-house corporate legal department.
- Paralegal certificate preferred.
- Licensed Notary Public preferred.
Additional Qualifications
- Computer proficiency, including Word, Excel, Adobe, Visio, Diligent Entities, iManage, DocuSign, and the capability to learn new software applications quickly.
- Experience with U.S. corporate governance and entity management required; exposure to foreign jurisdictions, international formations/dissolutions, cross-border matters, and coordination with local counsel is a plus.
- Demonstrated experience supporting transactions and drafting corporate documentation.
- Excellent judgment, attention to detail, and organizational skills.
- Ability and willingness to effectively work independently and in a dynamic, team-oriented atmosphere and multi-task in a fast-paced environment, meet deadlines, prioritize time-sensitive tasks, manage client expectations, and work across organizational and geographic boundaries, in a constantly evolving industry.
- Excellent communication (written and oral) and interpersonal skills.
- Demonstrated positive, can-do attitude with a strong sense of ownership, and comfort stepping into new or unfamiliar areas with confidence and curiosity.

ADDITIONAL INFORMATION
Hiring Salary Range: $85,000.00 - 100,000.00.
The hiring salary range for this position applies to New York City, California, Colorado, Washington state, and most other geographies. Starting pay for the successful applicant depends on a variety of job-related factors, including but not limited to geographic location, market demands, experience, training, and education. The benefits available for this position include medical, dental, vision, 401(k) plan, life insurance coverage, disability benefits, tuition assistance program and PTO or, if applicable, as otherwise dictated by the appropriate Collective Bargaining Agreement.
