Overview & Responsibilities:

The Senior Counsel will provide day-to-day business and legal affairs services in connection with licensing, marketing, promotions, and other ancillary matters for the Paramount Consumer Products team. This person will work to drive and close a variety of transactions, including a heavy volume of intellectual property licenses of Paramount’s characters and brands for use across a broad spectrum of consumer products; collaborations with well-known designers and specialty brands; and partnerships with retailers. The Senior Counsel will also advise the business group on a wide variety of day-to-day legal and business issues. The Senior Counsel reports to the Senior Vice-President, Business and Legal Affairs.

 

Responsibilities include but are not limited to:

  • Create, draft and negotiate intellectual property license agreements for the consumer products business in a wide array of categories, including toys, apparel, publishing, and consumer packaged goods.
  • Create, draft and negotiate agreements related to the marketing and promotion of Paramount’s brands, as well as a variety of ancillary agreements and documentation to support the business, including but not limited to amendments, settlement agreements, confidentiality agreements and services agreements.
  • Monitor and research changes to state and federal laws governing the consumer products business and ensure that departmental templates are updated accordingly.
  • Create original legal forms for non-standard agreements.
  • Provide practical, strategic advice and legal counsel to business clients regarding legal implications of proposed business opportunities, strategies and actions.
  • Cultivate and maintain channels of communication with key Paramount Business and Legal Affairs personnel and external counsel in technical areas, including rights and clearances, music strategy, risk management, marketing, intellectual property, guilds, bankruptcy and litigation.
  • Coordinate with internal business teams (e.g., sales, finance and operations teams) to determine business priorities and deal points.
  • Perform other essential functions as assigned.

 

Basic Qualifications:

  • 8+ years of attorney transactional experience including licensing and contractual agreements
  • JD degree with excellent academic credentials and law firm experience in IP or commercial transactions
  • Admitted to the New York Bar
  • Comprehensive knowledge of contract law and intellectual property law, as well as a mastered capability for legal research, analysis and reasoning.
  • Experience drafting and negotiating intellectual property license agreements in the consumer products industry and contracting around complicated exclusive rights arrangements.
  • Excellent negotiation skills

 

Additional Qualifications:

  • Experience with a major entertainment company, brand owner, licensing agency or IP/entertainment law firm.
  • Excellent written and oral communication skills.
  • Ability to build strong internal client relationships at all levels of the business, and effectively advise clients under conditions of uncertainty, high-pressure, and/or high-risk and generate strong client satisfaction through quick turnaround and firm decision-making.
  • Excellent project/team management skills, common sense, and business judgment.
  • Proficiency at multi-tasking under pressure, managing and prioritizing a varied, high-volume workload efficiently and smoothly, and operating autonomously within corporate parameters.
  • Collaborative, positive, and team-oriented.

Hiring Salary Range: $170,000.00 - 195,000.00. 

 

The hiring salary range for this position applies to New York, California, Colorado, Washington state, and most other geographies. Starting pay for the successful applicant depends on a variety of job-related factors, including but not limited to geographic location, market demands, experience, training, and education.  The benefits available for this position include medical, dental, vision, 401(k) plan, life insurance coverage, disability benefits, tuition assistance program and PTO or, if applicable,  as otherwise dictated by the appropriate Collective Bargaining Agreement. This position is bonus eligible.
